Creating a company run from home

Hi,

I am looking to incorporate a new business from home, is it possible to use a home address as the registered office address? Additionally as a way of cutting costs etc do I actually have to appoint a company secretary?

HI

As far as I am aware there is no problem using your home address as your registered office. Alternatively some business choose to use their accountants address for the registered office. That way all the official documents etc go straight to them to be sorted.

Again as far as I know you need to have two Directors and a secretary for a limited business. One of the directors can be a Secretary as well so you only need two people.

The registered agents address just needs to be within the state...so a home address should work fine.

I think most states allow a one-person corporation (i.e., one director and one officer).

Note, too, that an LLC is probably what you want for a small business. You get the same (or better) legal liability protection... and you can run the darn thing far more simply.

You will have to elect officers of the corporation and institute By-Laws. Depending on the state you incorporate in there are several other things you will have to do so go to your state web site and download their articles of incorporation.

It is perfectly possible to have your company registered from your home address and many people do this. There may be restrictions in your lease or by way of restrictive covenant on using your home for anything other than residential purposes, which is a rather different matter. In practice, it will depend on the nature of the business. If you are just using your spare bedroom as an office and so there is no interference with your neighbours, etc., it is unlikely to be a problem.
With regard to the company secretary, this is still a requirement until the new (2006) Act comes into effect which, for these purposes, is April 2008. Until then you need a company secretary. You may refer to the online services Tax haven companies for the best answer and solution to your requirements.

First of all, this forum is online, which means - not only USA So, before giving advices, ask the guy, what country is he from

Second, consider LLC instead, it will require less paperwork, unless you have solid reasons (like taxes) to incorporate. Again, this is USA only advice.

Do note it is not uncommon now for potential customers to Google Earth the address which is fine when it is an office, but if you list the home, then those details can get out there.

Also, there are services which will lease you office space. You can pick different amounts, for example 2 days a month or a week a month and while you are working from your home office all mail and sometimes even calls can go through the larger network and mail system.
